Terms of Service

Acceptance

By downloading, installing or using Agentty, or by using the agentty.run website, you agree to these Terms. If you do not agree, do not use them.

The Service is intended for users aged 14 or older. If you are under 14, please do not use it. See also Children's Privacy in our Privacy Policy.

If you use Agentty on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

The Service

"Service" means the Agentty application, the agentty.run website, and the release downloads we publish.

Agentty is provided for macOS, Windows and Linux, free of charge, and these Terms cover any mobile build we may distribute as well. There is no account, no subscription, no payment, and no support obligation. Which builds are available for which platform at a given moment is shown on the release page, and support for any platform, and any part of the Service, may be changed, suspended or discontinued at any time, including features described on the website or in the documentation.

You are responsible for obtaining the hardware, operating system, network access, third-party tools and AI provider subscriptions that Agentty works with, and for any costs they incur.

License to Use Agentty

Agentty is free to use. Its source code is not public yet; we intend to publish it under the GNU General Public License, version 3 or later (GPL-3.0-or-later). When we do, your rights to use, study, modify and redistribute the source code and the binaries built from it will come from that license, nothing in these Terms will limit, replace or override those rights, and where these Terms and that license conflict as to that code, the license will prevail.

Until then, your use of the application we distribute is governed by our End User License Agreement, which is written to make room for that license rather than to work around it.

These Terms cover your use of the website and of the Service as we operate it.

Your Content

Your files, code, prompts, conversations, repositories, credentials and everything else you work on remain entirely yours. We claim no ownership of them and no license to them. What an AI agent sends to its provider is sent by that agent on your instruction, not by us.

Agentty processes them locally on your computer. As described in our Privacy Policy, we operate no servers that receive them, and they are not transmitted to us during normal use.

You are responsible for your content, for having the right to use it, and for backing it up. Agentty performs operations that change files on your computer — writing and editing files, creating git branches and working trees, committing, pushing, starting and stopping processes — at your instruction or at the instruction of an agent you started.

Acceptable Use

You agree not to use the Service:

• in violation of any applicable law or regulation, or of the terms of any third-party service you connect to it;
• to gain unauthorized access to systems, accounts or data that are not yours;
• to build or distribute malware, or to conduct attacks against others;
• to infringe the intellectual property or privacy rights of others;
• to misrepresent the Service as your own product, or to use our name or brand in a way that suggests endorsement we have not given.

AI Agents and Third-Party Services

Agentty is a terminal and an orchestration surface. It does not provide an AI model of its own. When you open an agent pane, a third-party program — Claude Code, Codex or another agent command line tool you installed — runs on your computer, under your user account and under your own account with that provider, and talks to that provider directly: Anthropic for Claude Code, OpenAI for Codex, the corresponding company for any other agent.

That is a relationship between you and that provider. Your prompts, your files and the resulting conversation travel from your computer to that company; they do not pass through us. We do not read, decrypt, store or process them, we never receive a copy, and we are neither the controller nor the processor of that data. How it is handled — including retention, use for model training, and deletion — is governed by that provider's own terms and privacy policy, which you accept with them and which you should read. We have no control over what those tools or their models produce.

You acknowledge and agree that:

• Agents act on your computer with your permissions. They can read, create, modify and delete files, run shell commands, install packages, and make network requests. You are responsible for reviewing what you authorize, for the permission settings you choose in those tools, and for the consequences.
• AI output can be wrong. Generated code and suggestions may be inaccurate, insecure, or unsuitable. Review, test and validate anything before you rely on it or ship it.
• Costs are yours. Any usage fees, quotas or rate limits with AI providers, and any charges from other services you connect (for example hosting, deployment or database providers), are between you and those companies. The cost and usage numbers Agentty displays are computed locally from transcript files and are estimates for your convenience, not a bill and not a guarantee of accuracy.
• Integrations act on your behalf. Features that sign you in to services such as GitHub, Vercel or Supabase do so through those services' own official tools and their own sign-in flows, using your accounts and under their terms. Plugins run as separate programs with the permissions their manifest declares and that you approved at install time.

Updates

Agentty checks for new versions and can download and install them. Updates may add, change or remove features. You may turn automatic installation off where the application offers that choice, and you may continue using an older version, but we support only the latest release.

Intellectual Property and Brand

The Agentty name, logo and brand assets are ours. The free software license we intend to publish under will give you broad rights in the software; it will not give you rights in our name or logo. If you distribute a modified version once that is permitted, do not present it as the official Agentty or use our branding in a way likely to confuse others about its origin.

Third-party components included in the application are licensed by their own authors under their own terms, listed in the notices that accompany the release.

Feedback

If you send us feedback, bug reports or feature suggestions, you grant us the right to use them without restriction and without obligation to you. We will not treat them as confidential. Do not include confidential information, credentials, or personal data in a report; where possible, redact before sharing logs or screenshots.

Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or compatible with your system or your tools, that defects will be corrected, or that any result you obtain through it will be accurate or reliable.

Nothing in this section excludes a warranty that cannot be excluded under the mandatory law that applies to you as a consumer.

Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, files, source code, business or goodwill, arising out of or in connection with the Service, even if we were advised of the possibility.

In particular, and without limiting the above, we are not liable for damage caused by commands or changes made by AI agents, shells or other programs you run inside Agentty, including deleted or overwritten files, unintended commits, pushes or deployments, exposed credentials, or costs incurred with third-party providers.

The Service is provided free of charge: you pay us nothing for it, and we earn nothing from it. To the maximum extent permitted by applicable law, our liability arising out of or relating to the Service is limited accordingly.

These limitations apply regardless of the legal theory on which a claim is based. They do not apply to liability that cannot be limited under applicable law, including liability for intentional misconduct or gross negligence.

Indemnification

You agree to indemnify and hold us harmless from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of the rights of a third party or of any applicable law.

Term and Termination

These Terms apply while you use the Service. You may stop at any time by uninstalling the application and deleting its files from your computer.

We may suspend or discontinue the website or the distribution of releases at any time. Once the source code has been published under the free software license, termination of these Terms does not terminate the rights that license grants you in the software itself, which continue on their own terms.

Sections that by their nature should survive — including Your Content, Intellectual Property and Brand, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and General — survive termination.

Changes to These Terms

We may update these Terms. When we make a material change we will update the effective date above and publish the revised Terms on this page. Continued use of the Service after a change takes effect means you accept the revised Terms. If you do not accept them, stop using the Service.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be submitted to the jurisdiction of the Seoul Central District Court. If you are a consumer, you may instead bring an action before any court having jurisdiction under the applicable law.

If you use the Service as a consumer, this does not deprive you of the protection of mandatory consumer law in your country of residence.

General

If any provision of these Terms is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force.

Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a transfer of the project.

These Terms, together with the Privacy Policy and the End User License Agreement, are the entire agreement between you and us regarding the Service, and replace any earlier version.
